Terms of use

1. Introduction and Acceptance

These Terms of Use ("Terms") govern your access to and use of the websites metabolicalignment.nz and metabolicalignment.com, and all associated services, coaching programmes, online courses, digital products, and content provided by Metabolic Alignment, operated by Stacey Oldham ("we", "us", "our", "Metabolic Alignment").

By accessing our website, enrolling in any programme, purchasing any product or service, or otherwise engaging with Metabolic Alignment, you ("you", "client", "user") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

These Terms are governed by the laws of New Zealand. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

2. About Metabolic Alignment

Metabolic Alignment is operated by Stacey Oldham, a PreKure Certified Master Holistic Health Coach. Stacey is a member of the Hanza Health Coaches Association of Australia and New Zealand (HCANZA) and adheres to the HCAANZ Code of Conduct in the delivery of all coaching services.

3. Nature of Services

Metabolic Alignment offers the following services and products:

  • One-on-one holistic health coaching sessions (in person or online)

  • Online health and wellness programmes and courses

  • Digital products, including guides, workbooks, meal plans, and resource downloads

  • Free content, educational materials, and an email newsletter

IMPORTANT: Holistic health coaching is not a medical service. Stacey Oldham is a certified holistic health coach, not a registered medical practitioner, dietitian, psychologist, or other regulated health professional. Nothing provided through Metabolic Alignment constitutes medical advice, diagnosis, or treatment.

Our coaching services are intended to complement, not replace, the care of your qualified healthcare providers. You should always consult a registered medical professional before making significant changes to your diet, exercise, or health regime, particularly if you have a pre-existing medical condition.

4. Health Disclaimer

The information, coaching, content, and products provided by Metabolic Alignment are for general wellness and educational purposes only. We do not claim to diagnose, treat, cure, or prevent any disease or medical condition.

Results from our coaching programmes and products will vary from person to person. We make no guarantee that you will achieve any specific outcome, weight loss target, health improvement, or other result by following our recommendations.

If you are pregnant, breastfeeding, have a known medical condition, or are taking prescription medication, you must obtain clearance from a qualified healthcare professional before commencing any coaching programme or implementing dietary changes recommended through our services.

By engaging our services, you acknowledge that you are participating voluntarily and accept responsibility for your own health decisions.

5. Professional Indemnity Insurance

Metabolic Alignment holds Professional Indemnity insurance, details as follows:

  • Insurer: DUAL New Zealand Limited (underwritten by Lloyd's)

  • Business category: Allied Health — Coaching and Training Services

This Professional Indemnity cover provides protection against claims arising from professional errors, omissions, or negligent advice in the course of our coaching services, subject to the terms, conditions, and exclusions of the policy.

 
Please note: Metabolic Alignment does not hold Public Liability insurance. Our insurance cover is limited to Professional Indemnity as described above. Activities that may give rise to public liability claims are outside the scope of our insurance coverage.

Our Professional Indemnity policy expressly excludes: medical procedures, prescription of pharmaceutical drugs, administration of general anaesthesia, and product liability claims. Our services do not involve any of these activities.

6. Limitation of Liability

To the fullest extent permitted by law:

  • Metabolic Alignment's total liability to you for any loss or damage arising from or in connection with our services or products shall not exceed the amount you paid for the specific service or product giving rise to the claim.

  • We are not liable for any indirect, consequential, incidental, special, or punitive losses or damages, including but not limited to loss of income, business, health outcomes, or opportunity, even if we have been advised of the possibility of such loss.

  • We are not liable for any decisions you make regarding your health, diet, or lifestyle based on information provided through our website, programmes, or coaching sessions.

  • We are not liable for the acts or omissions of any third-party service providers, including but not limited to healthcare professionals you consult.

Nothing in these Terms limits or excludes liability that cannot be excluded under applicable New Zealand law, including the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.

7. Client Responsibilities

By engaging our services, you agree to:

  • Provide accurate, complete, and up-to-date information about your health, medical history, and personal circumstances in all intake forms and coaching sessions

  • Inform us immediately of any changes to your health status, medical conditions, or medications that may affect your suitability to participate in a coaching programme

  • Take personal responsibility for your health decisions and the implementation of any recommendations provided

  • Not share, distribute, reproduce, or commercially exploit our digital products, course materials, or proprietary content without our express written permission

  • Use our website and services for lawful purposes only and in a manner consistent with these Terms

  • Treat us and any community spaces we provide with respect, refraining from abusive, threatening, or inappropriate behaviour

8. Minors

Our services are primarily designed for adults. Where a client is under the age of 18, the following conditions apply:

  • A parent or legal guardian must provide written consent before the minor commences any coaching programme or purchases any product.

  • The parent or legal guardian must accompany the minor in sessions where appropriate, or be readily contactable throughout the duration of the coaching relationship.

  • The parent or legal guardian accepts these Terms on behalf of the minor and is jointly responsible for ensuring the minor's compliance with these Terms.

  • Health information relating to a minor will be handled in accordance with our Privacy Policy, with additional safeguards applied given the sensitive nature of information about children.

9. Payments, Refunds, and Cancellations

9.1 Payments

All payments are processed securely via Stripe. Prices are listed in New Zealand Dollars (NZD) unless otherwise stated. By making a purchase, you confirm that you are authorised to use the payment method provided. We do not store your payment card details.

9.2 Digital Products

Due to the instant-access nature of digital products (downloadable guides, workbooks, and similar items), all sales are final once the product has been accessed or downloaded. Refunds are not available for digital products unless the product is faulty or materially different from its description.

9.3 Coaching Programmes and Courses

Refund and cancellation terms for coaching programmes and online courses will be set out in the specific programme enrolment agreement or sales page. In the absence of specific terms, the following apply:

  • Cancellation with 48 or more hours' notice: full refund or credit at our discretion

  • Cancellation with less than 24 hours' notice: no refund for that session, though we will endeavour to reschedule where possible

  • Programme packages: refund requests will be assessed on a case-by-case basis, accounting for sessions already delivered

We reserve the right to refuse a refund where we believe our services have been accessed in bad faith.

9.4 Price Changes

We reserve the right to change our prices at any time. Price changes will not affect orders that have already been confirmed and paid.

10. Intellectual Property

All content on our website and within our programmes, courses, and digital products — including but not limited to text, graphics, images, videos, audio recordings, meal plans, workbooks, course materials, and the overall programme design — is the intellectual property of Metabolic Alignment and is protected by New Zealand and international copyright law.

You are granted a personal, non-exclusive, non-transferable licence to access and use content you have lawfully purchased or subscribed to, for your own personal, non-commercial use only. You may not:

  • Copy, reproduce, distribute, or republish any of our content without our prior written consent

  • Sell, sublicense, or commercially exploit our content in any form

  • Share login credentials or access to paid programmes with third parties

  • Use our branding, logo, or name in a way that implies endorsement without our written consent

If you share our free content (such as social media posts or newsletter excerpts), please credit Metabolic Alignment and Stacey Oldham as the source.

11. Website Use

Our website is hosted on Squarespace. We strive to keep our website available and accurate, but we make no warranty that:

  • The website will be continuously available or error-free

  • The information on the website is complete, accurate, or current

  • The website will be free from viruses or other harmful elements

  • We reserve the right to modify, suspend, or discontinue any part of our website or services at any time without notice.

You must not attempt to gain unauthorised access to any part of our website, disrupt its operation, or introduce malicious code.

12. Third-Party Links and Services

Our website and communications may contain links to third-party websites or reference third-party products and services. These links are provided for your convenience and information only. We do not endorse, control, or accept responsibility for the content, privacy practices, or accuracy of any third-party website or service.

Your use of third-party platforms (including Carepatron, Stripe, MailerLite, and Squarespace) is subject to each platform's own terms and conditions and privacy policies.

13. Testimonials and Results

Any testimonials, case studies, or success stories shared on our website or in our marketing materials represent the individual experiences of specific clients. They are not guarantees that you will achieve the same or similar results. Individual outcomes depend on many factors including, but not limited to, starting health status, commitment, lifestyle, and individual physiology.

14. Confidentiality

We treat all information you share with us during coaching sessions and intake processes as confidential. We will not disclose your personal information to third parties except in the circumstances described below, as set out in our Privacy Policy, or as otherwise required by law.

There are two situations in which we may be required or permitted to disclose your confidential information without your consent:

  • Risk to life or safety: If we have reasonable grounds to believe that your life, or the life of another person, is at serious or imminent risk — including risk of self-harm or harm to others — we may disclose relevant information to your general practitioner (GP), a registered health professional, or emergency services. We will only share the minimum information necessary to address the risk, and we will notify you of any such disclosure where it is safe and practicable to do so.

  • Legal requirement: If we are required by law to disclose information — for example, if we receive a valid subpoena, court order, or other legally binding demand from a court or regulatory authority — we will comply with that requirement. Where permitted by law, we will notify you before complying so that you have the opportunity to seek legal advice.

Outside of these two circumstances, your confidential information will not be shared without your express consent.

15. Professional Standards

As a PreKure Certified Master Holistic Health Coach and member of the Hanza Health Coaches Association of Australia and New Zealand (HCANZA), Stacey Oldham operates in accordance with the HCANZA Code of Conduct. This includes upholding standards of professionalism, client confidentiality, scope of practice, and ethical conduct in all coaching interactions.

If you have a concern about the professional conduct of our coaching services, you may raise it directly with us at stacey@metabolicalignment.nz or contact HCANZA through their official channels.

16. Termination

We reserve the right to suspend or terminate your access to our services or website, without prior notice, if:

  • You breach these Terms

  • We believe your continued participation poses a risk to yourself, other clients, or our business

  • Payment for services has not been received

You may terminate a coaching relationship at any time by giving us written notice. Any fees for services already delivered will remain payable.

Clauses relating to intellectual property, limitation of liability, confidentiality, and governing law shall survive termination of these Terms.

17. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated Terms will be published on our website with a revised "last updated" date. Your continued use of our website or services after the date of any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any dispute, controversy, or claim arising from or in connection with these Terms — including any question regarding their existence, validity, or termination — shall be subject to the exclusive jurisdiction of the New Zealand courts.

Relevant New Zealand consumer legislation includes the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, the provisions of which apply where applicable and cannot be excluded.
